Terms of Service

These Terms of Service (“Terms”) govern your access to and use of VelvetAuth (the “Service”), operated by VelvetAuth (“we”, “us”, or “our”). By creating an account or using the Service, you agree to these Terms.

VelvetAuth provides software authentication and licensing tools, including application management, license keys, user authentication APIs, dashboards, and related features. Features may change over time as we improve the Service.

You retain ownership of data you submit to the Service (for example app settings, license keys you generate, and end-user records you store through VelvetAuth). You grant us a limited license to host, process, and display that data solely to operate and improve the Service.

You are responsible for your relationship with your own end users, including any licenses, privacy notices, and support you owe them. VelvetAuth is a tool for you; we are not a party to your contracts with your customers unless we separately agree in writing.

You may use our client APIs and SDKs to connect your software to VelvetAuth. You must keep secrets and keys confidential, use reasonable rate limits, and not use the API in a way that harms Service stability. We may throttle or revoke access that threatens the platform.

7. Third-party services

The Service may integrate with third parties (for example payment processors, email delivery, or optional VPN/WireGuard infrastructure you configure). Those services have their own terms. We are not responsible for outages or policies of third-party providers.

8. Availability and support

We aim for reliable uptime but do not guarantee uninterrupted access. Maintenance, incidents, or force majeure events may cause downtime. Support is provided on a reasonable-efforts basis according to your plan.

VelvetAuth, including its software, branding, documentation, and website, is owned by us or our licensors. These Terms do not transfer ownership of our IP to you. Feedback you send may be used by us without obligation.

10. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available”. We do not warrant that the Service will be error-free, completely secure, or fit for every purpose. Nothing in these Terms excludes rights you cannot waive under Australian Consumer Law.

11. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or lost-profit damages, or for loss of data, business, or goodwill. Our total liability for claims relating to the Service in any 12-month period is limited to the fees you paid us for the Service in that period (or AUD $100 if you are on a free plan).

12. Indemnity

You agree to indemnify and hold us harmless from claims arising out of your apps, your end users, your content, or your breach of these Terms, except to the extent caused by our wilful misconduct.

13. Termination

You may stop using the Service at any time. We may suspend or end access if you breach these Terms or if we discontinue the Service. After termination, your right to use the Service ends. We may delete or retain data as described in our Privacy Policy and as needed for legal or security reasons.

14. Changes

We may update these Terms. We will post the updated version with a new “Last updated” date. Material changes may also be communicated by email or in-dashboard notice when practical. Continued use after changes means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of Australia. Courts in Australia have non-exclusive jurisdiction, subject to any mandatory consumer protections that apply where you live.
